Asuscom TA 128 PCI doesn't work with Asus Intel 845 mobo

when I install the proper driver the PC autoshutdown and on restart it always crash... I notice the problem under Win2K and win XP, i think it's some sort of hardware incompatibility... some hints?

anyway the conflict start when I load the proper drivers... before that the PC doesn't crash whit the card plugged in...
