TA Zyxel USB not working under Win2k

Hi everybody :))
I'm not able to use a.m. TA in Win2k! It works correctly in W98se!
I use the last drivers available (1.46) and the TA is correctly recognized from MB bios and Win2k but, when I try to connect or I try the loopback, TA doesn't respond.
Strange thing: I'm able to try the loopback only if I deinstall drivers and reinstall the same drivers again without restarting the OS!! After the first restart TA doesn't work anymore!
MB Asus CUV4X bios 1006
CPU PIII 700 FSB 100
Creative Geforge GTS
DIMM 128 MB 100 Mhz
SBLive!
I used the Win2k service pack too without any satisfaction!
Please I need help :))
