Follow the instruction here at NT Compatible with only SP1 installed. I find if you have SP2 installed it won't work. Also uninstall any compatibility updates and just install the compatibility update under the High Stakes instructions. Then when executing the game add this "-d3d1" to the exe shortcut so it is something like this.
C:\Nfs4\nfshs.exe -d3d1
of course you will have to change to your correct drive/install directory.
You'll get a hard disk space error message but ignore it, it will run.

I followed the info listed to get the game to run and run it does, but everytime I play I have to go in and reset my settings up. I acts like a brand new install everytime it starts up. Any word in this?

I have the exact same problem, but my save games remain in tact. If you've got 9x, and NFS4 installed under that, you could change everything to the way you want it and then just use that config.cfg file.
