The easiest way is to find a Cable/DSL ready router that will accept UTP cabling

You will note that it uses a separate computer to act as the Gateway, but in your case, your computer probably already has both cards - one for the modem, the other going to the hub or your friend's computer directly. What I would then do is to connect them by proxy. Go to this page: http://windowsxp.mvps.org/analogx.htm to see how you would do so through software.
