I have a win98 machine with two HDs. Can I move all my dad to drive D and then install a fresh copy of win2k on C: and then access D drive with a problem? In other words I want to backup my data on drive D...

Yes. Win2k can be installed on, and therefore read, NTFS, FAT32, FAT16, FAT12(not advisable to install on FAT16 or 12) without any issues.
Just so you know, if you do a dual boot, FAT 32 is the way to go.;)
