COM3 Conflict with COM2 only on reboot

I have a modem that is located on com3 - works great. If I reboot, there is a conflict with com2. To get everything to work again I have to uninstall com3, reboot and reinstall com3. Everything works fine again.

I've tried different configurations but can't come up with why w2k likes to install the com port new and will happily live with that, but doesn't like it on reboot.

Has anyone seen this before??
